• Partner registration and profile management
• Token creation and distribution system
• Customer engagement and reward tracking
• Analytics and reporting tools
• Administrative and support services

3. Partner Eligibility and Registration

Eligibility Requirements

To become a HERO2 partner, you must:

• Be a legally registered business entity
• Have the legal authority to enter into this agreement
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations
• Operate a legitimate business with appropriate licenses

Registration Process

Partners must complete our registration process, which includes business verification and approval by our team. We reserve the right to reject any application at our discretion.

4. Token System and Rewards

Token Creation

Partners can create digital tokens representing rewards, discounts, or services. Each token must:

• Have a clear description and value proposition
• Comply with applicable consumer protection laws
• Be honored according to the terms specified
• Have reasonable expiration dates where applicable

Token Obligations

Partners are legally obligated to honor all tokens issued through our platform according to the terms specified during token creation.

5. Partner Responsibilities

As a HERO2 partner, you agree to:

• Provide accurate business and contact information
• Honor all tokens and rewards as described
• Comply with all applicable laws and regulations
• Maintain appropriate business licenses and permits
• Provide good customer service to token recipients
• Report any issues or disputes promptly
• Keep your account secure and confidential

6. Prohibited Activities

Partners must not:

• Create fraudulent or misleading tokens
• Violate any local, state, or federal laws
• Infringe on intellectual property rights
• Engage in discriminatory practices
• Share account credentials with unauthorized parties
• Attempt to manipulate or abuse the platform
• Create tokens for illegal goods or services

7. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. Partners are responsible for complying with applicable privacy laws regarding customer data they collect.

8. Account Suspension and Termination

Suspension

We may suspend partner accounts for:

• Violation of these terms
• Suspicious or fraudulent activity
• Non-payment of fees
• Customer complaints or disputes

Termination

Either party may terminate this agreement with 30 days written notice. HERO2 may terminate immediately for cause. Upon termination, all outstanding tokens must be honored.

9. Limitation of Liability

HERO2's liability is limited to the maximum extent permitted by law. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Partner disputes with customers
• Technical issues beyond our control

10. Indemnification

Partners agree to indemnify and hold HERO2 harmless from any claims, damages, or expenses arising from their use of the platform or violation of these terms.

11. Dispute Resolution

Disputes will be resolved through binding arbitration in accordance with applicable arbitration rules. Partners waive the right to participate in class action lawsuits.

12. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.

13. Modifications to Terms

HERO2 may modify these terms at any time. Partners will be notified of significant changes and continued use constitutes acceptance of modified terms.

14. Governing Law

These terms are governed by the laws of the jurisdiction where HERO2 is headquartered, without regard to conflict of law principles.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms of Service constitute the entire agreement between you and HERO2 regarding the use of our platform and supersede all prior agreements and understandings.

17. Assignment

HERO2 may assign these terms to any successor or affiliate. Partners may not assign their rights or obligations without our written consent.
